1. Acceptance of Terms

By accessing or using our website, submitting a request for quotation (RFQ), or placing a wholesale order, you confirm that:

• You are at least 18 years of age and have the legal authority to bind your business.
• You are purchasing for business/resale purposes, not as a consumer.
• You have read, understood, and agree to these Terms, our Privacy Policy, and our Returns & Refunds Policy.
• You will comply with all applicable US and international laws, including export controls and customs regulations.

If you do not agree with any part of these Terms, please do not use our website or services. We may revise these Terms at any time; continued use after changes are posted constitutes acceptance of the updated Terms.

2. B2B Account Registration & Approval

NOVA DRIV is a B2B-only platform. To access wholesale pricing and place orders, you must register a business account. Account registration is subject to verification and our sole approval:

• You must provide accurate business information including legal entity name, country of incorporation, business registration or tax ID, and a verifiable business email address.
• We review each application to confirm your business is a legitimate reseller, distributor, or fleet/commercial buyer of automotive accessories.
• Account approval is at our discretion and may be revoked if information is inaccurate or if account activity violates these Terms.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

We typically respond to account applications within one business day. Submitting an application does not guarantee approval.

3. Quotations & Orders

NOVA DRIV operates on an inquiry-based (RFQ) sales model. The following applies to all quotations and orders:

• Request for Quotation (RFQ): Submit inquiries for any of our seven product categories — Seat Covers, Seat Cushions, Sun Shades, Car Covers, Steering Wheel Covers, Floor Mats, and Car Organizers — with your specifications, target quantity, customization requirements, and destination market.
• Quotation Validity: Quotations are prepared by our sales team and are valid for the period stated on the quote. Prices and lead times are subject to confirmation at the time of order placement.
• Proforma Invoice (PI): An accepted quotation is converted into a proforma invoice. An order is considered confirmed only after we receive your written acceptance and the deposit or payment required under the PI.
• Customization: Custom or OEM orders are produced to your specifications. Once production begins, specifications cannot be changed without our written agreement and possible cost adjustment.
• Order Cancellation: Cancellation terms depend on production status. Custom orders in production generally cannot be cancelled.

4. Pricing & Payment Terms

Pricing is provided on a per-quotation basis and depends on product specification, order quantity, customization, and destination. The following payment policies apply:

• Quotation-Based Pricing: All prices are quoted in writing for each RFQ. Prices are not displayed publicly on our website and are not fixed across orders.
• Currency: Quotations are typically issued in USD; other currencies may be available upon request.
• Payment Terms: Standard terms require a deposit with the balance due before shipment. Specific deposit percentage and balance terms are stated on your proforma invoice.
• Payment Methods: We accept bank wire transfer (T/T) and other methods as agreed in writing. Payment must be made from an account in the buyer's name or an authorized third party.
• Taxes & Duties: Prices do not include destination import duties, taxes, or customs clearance fees unless explicitly stated. These are the buyer's responsibility.
• Late Payment: Overdue balances may result in delayed shipment, suspended account privileges, or additional charges as permitted by law.

5. Shipping & Delivery

Orders are produced by our contracted factories, inspected by our China QC team, exported, and distributed through our US warehouse. Shipping terms include:

• Incoterms: Quotations specify applicable Incoterms (e.g., FOB, EXW, CIF, DAP). Default terms are stated on your proforma invoice.
• Lead Times: Production lead times are quoted per order and depend on product type, customization, and quantity. Lead times are estimates, not guarantees.
• US Warehouse Distribution: Stocked items ship from our US warehouse with standard US transit times. Wholesale distribution is available for verified B2B buyers.
• Shipping Documents: We provide commercial invoice, packing list, bill of lading, and applicable certificates (DOT/FMVSS/REACH/BSCI/ISO/CE) with each shipment.
• Title & Risk of Loss: Title and risk pass to the buyer according to the Incoterms specified on the proforma invoice.
• Force Majeure: We are not liable for delays caused by events beyond our reasonable control, including natural disasters, port congestion, or government actions.

6. Returns & Refunds

Returns and refunds are governed by our separate Returns & Refunds Policy. Key principles include:

• B2B custom or OEM products are generally non-returnable except for defects confirmed by our QC team.
• Defective or damaged products must be reported within the timeframe stated in our Returns & Refunds Policy with photo or video evidence.
• Approved refunds, replacements, or restocking arrangements are handled per the Policy in effect at the time of the claim.
• Shipping and restocking terms, where applicable, are quoted based on the specific order.

7. Intellectual Property

All content on this website — including the NOVA DRIV name, logo, product images, descriptions, certifications, and page layouts — is the property of NOVA RIDE LLC or its licensors and is protected by US and international intellectual property laws.

• You may not copy, reproduce, or redistribute our content without prior written permission.
• You may not use the NOVA DRIV name or trademarks except as expressly authorized in writing.
• Any trademarks, designs, or artwork you provide for custom orders remain your property; you warrant that you have the right to use them and indemnify us against any infringement claims arising from their use.
• Custom tooling, molds, or samples created for your order are governed by separate written agreement.

8. Limitation of Liability

To the maximum extent permitted by law:

• NOVA RIDE LLC and its China supply chain partners shall not be liable for indirect, incidental, consequential, or punitive damages arising from your use of our products or services.
• Our total liability for any claim arising out of or relating to an order is limited to the amount you paid to us for the products giving rise to the claim.
• We make no warranties beyond those expressly stated in these Terms, our quotations, or applicable product specifications.
• We are not responsible for losses arising from improper installation, misuse, or unauthorized modification of our products.
• You agree to indemnify and hold us harmless from claims arising from your resale, distribution, or end-use of our products.

9. Governing Law

These Terms and any dispute arising from them are governed by the laws of the State of California, United States of America, without regard to conflict-of-law principles. Because NOVA RIDE LLC is a US company with a supply chain hub in China, the following applies:

• Any legal action or proceeding shall be brought exclusively in the state or federal courts located in California, USA, and you consent to the personal jurisdiction of those courts.
• Trade terms (Incoterms), shipping, and customs matters are interpreted under applicable international conventions.
• If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
• Our failure to enforce any right or provision is not a waiver of that right or provision.
